Welcome to Nexiq. These Terms & Conditions (“Terms”) govern your use of our website,

www.nexiq.co.in, and the services we provide. By accessing our website or engaging our services, you agree to be bound by these Terms.

1. Introduction

NexiQ (“we,” “us,” “our”) is a future-focused IT services and solutions provider delivering custom software, transport solutions, and a comprehensive suite of digital services. Our mission is to “Make technology more Human, Useful, and Profitable”. These terms constitute a legally binding agreement between you (“Client,” “you,” “your”) and Nexiq.

2. Scope of Services

We offer a wide range of product and service-based solutions designed to help businesses innovate, build, and scale. Our services include, but are not limited to:

  • Transport Tech & SaaS Solutions: Development of software to power fleets, optimize routes, automate bookings, and scale logistics. This includes white-labeled taxi/transport software, admin portals, and driver/customer apps.
  • Software & App Development: Creation of purpose-built, business-centric applications , including custom web and mobile apps (Android/iOS), API/ERP integrations, cloud deployment, and backend support.
  • Website & Branding Solutions: UX/UI design, development on platforms like WordPress, Shopify, and Webflow, and brand identity design including logos and stationery.
  • Marketing & Digital Communication: Services designed to attract, engage, and convert customers, including SEO, Google Ads, social media strategy, paid campaigns, and email automation.
  • IT Asset & Managed Services: Backend support including laptop/desktop renting for teams, email and server hosting, podcast production, and professional photography/video editing.
  • Content & Corporate Support: Business documentation support including the creation of investor pitch decks, detailed project reports, business plans, presentations, and copywriting.

3. Quotations, Proposals, and Service Agreements

  • Consultation and Quotes: We offer a “SCHEDULE A FREE CONSULTATION” to discuss your needs. Any quote provided, including those promised within 24 hours, is an estimate based on the initial information provided and is not a binding offer.
  • Service Agreement: All projects and services are governed by a formal Service Agreement or Statement of Work signed by both parties. This agreement will detail the specific scope, deliverables, timelines, payment schedule, and other project-specific terms.

4. Intellectual Property Rights

  • Our IP: All content on this website, including text, graphics, logos, and our proprietary software methodologies, is the exclusive property of Nexiq.
  • Client IP: You retain ownership of all pre-existing intellectual property, data, and materials you provide to us for the project.
  • Project Deliverables: Upon our receipt of full and final payment for the services rendered, the ownership of the final, approved project deliverables (e.g., source code for a custom app, final logo design) will be transferred to you, as outlined in the Service Agreement. Nexiq retains the right to use general knowledge and to display the completed work in our portfolio for marketing purposes, unless otherwise agreed in writing.

5. Client Responsibilities

To ensure efficient and timely project completion, you agree to:

  • Provide accurate and complete information required for the project.
  • Provide timely feedback, approvals, and any necessary materials (e.g., content, brand assets).
  • Appoint a single point of contact authorized to make decisions on behalf of your organization.

6. Payment and Fees

All fees and payment schedules will be explicitly stated in your Service Agreement. Payments may be structured as deposits, milestone payments, and a final payment upon project completion. All payments are due as per the agreed schedule.

7. Confidentiality

Both Nexiq and the Client agree to keep all non-public information, including business strategies, technical data, and project details, confidential. This information will not be disclosed to any third party without prior written consent, except as required by law.

8. Limitation of Liability

Nexiq will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising in connection with our services or your use of our website. Our total liability for any claim arising out of our services will be limited to the amount paid by you for the services in question. While we provide services like hosting and backend support, we are not responsible for failures caused by third-party providers.

9. Warranties and Disclaimers

  • We warrant that our services will be performed in a professional and workmanlike manner. As part of our commitment, we offer post-launch support, maintenance, and upgrades, the specific terms of which will be defined in your Service Agreement.
  • Except for the foregoing, our services are provided “as is” without any other warranties, express or implied. Nexiq does not warrant that the operation of any software or website will be uninterrupted or error-free.

10. Term and Termination

  • The term of the agreement will be specified in the individual Service Agreement.
  • Either party may terminate the agreement for a material breach if the breaching party fails to cure the breach within a specified period after receiving written notice.
  • Upon termination, the Client is obligated to pay for all work performed up to the termination date.

11. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in India.

12. Amendments to Terms

Nexiq reserves the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this website. Your continued use of the website or our services after such changes constitutes your acceptance of the new Terms.
